🏡 Potential $1 Billion Buyout Could Reshape Summerlin's Developer

Summerlin’s developer, Howard Hughes Holdings, could be on the verge of another corporate shakeup following a $1 billion buyout proposal from billionaire Bill Ackman’s Pershing Square Capital Management. The offer could result in Pershing owning a majority stake in the company, which it already partially controls with 37.6% of the stock.

The Buyout Proposal

Ackman proposed purchasing the remaining shares at $85 each, totaling $1 billion, according to a letter filed with the Securities and Exchange Commission. In his statement, Ackman criticized the company’s stock performance and outlined a vision of transforming Howard Hughes Holdings into a diversified holding company, akin to Warren Buffett’s Berkshire Hathaway.

Ackman sees the developer’s future as one that invests in and manages controlling stakes in various enterprises.

Summerlin’s Development Legacy

Howard Hughes Holdings plays a central role in shaping Summerlin, a 22,500-acre master-planned community on Las Vegas’ western edge. The community features high-end homes, extensive parks, trails, and community centers, boasting over 120,000 residents and some of Southern Nevada’s priciest real estate.

The company generates revenue by selling land to homebuilders and has invested heavily in developing commercial and residential projects in the area. Downtown Summerlin, a 106-acre outdoor mall, is one of its standout projects, complemented by apartments, office spaces, and the Las Vegas Ballpark.

History of Ownership Changes

The land now known as Summerlin was acquired by Howard Hughes in the 1950s and sold by his heirs in 1996 to Maryland-based Rouse Co. for $520 million. Over the years, the developer changed hands several times, including a $12.6 billion acquisition by General Growth Properties in 2004.

After filing for bankruptcy in 2009, General Growth spun off The Howard Hughes Corp. in 2010, giving the newly formed company control over Summerlin and other properties nationwide.

The company reached a milestone in 2014 with the opening of Downtown Summerlin, which had been halted during the Great Recession. Since then, it has added significant projects, including office buildings, residential developments, and the Aviators' Las Vegas Ballpark, built with support from an $80 million naming-rights deal with the Las Vegas Convention and Visitors Authority.

Recent Corporate Activity

In 2023, Howard Hughes Holdings restructured into a holding company and spun off its entertainment division into Seaport Entertainment Group, which manages the Las Vegas Aviators and the ballpark. Despite the changes, Howard Hughes Holdings retains control of the Downtown Summerlin mall and continues to expand its footprint in the region.

Ackman’s Vision

Ackman’s proposal to take the company private aligns with his firm’s long-term strategy. In his letter, he described Pershing as the ideal owner to guide Howard Hughes Holdings forward, leveraging its namesake’s legacy of innovation.

While the proposal marks a significant potential shift for the company, Howard Hughes Holdings has stated that there is no assurance it will pursue the buyout.

Ackman expressed his enthusiasm for the company’s future, suggesting the buyout could allow it to thrive: “Let’s give this bird some wings.”

🏈 Raiders Begin Sixth Coaching Search Under Mark Davis' Ownership

The Las Vegas Raiders are once again searching for a head coach, marking the sixth such effort since Mark Davis became owner in 2012. Despite trying a variety of approaches over the years—ranging from hiring young coordinators to securing seasoned veterans—Davis has yet to find a lasting solution. This latest search comes after the team’s disappointing 4-13 season under interim coach Antonio Pierce.

With minority owner Tom Brady expected to play a significant advisory role, the Raiders hope this search will yield long-term stability.

The Raiders’ Coaching Searches Under Mark Davis: A History

2012: Dennis Allen’s Short-Lived Tenure

Mark Davis’ first major decision as owner came shortly after his father Al Davis’ passing in 2011. Partnering with newly hired general manager Reggie McKenzie, the Raiders sought a fresh start by replacing head coach Hue Jackson after just one season.

The team considered a mix of experienced coaches, including Mike Tice and Marty Mornhinweg, and rising stars like Todd Bowles, Mike McCoy, and Pete Carmichael Jr. Ultimately, they hired Dennis Allen, the Denver Broncos’ defensive coordinator.

Allen, the Raiders’ first defensive-minded head coach since John Madden in 1969, struggled mightily. He posted an 8-28 record before being fired four games into his third season in 2014.

2018: The Return of Jon Gruden

After years of courting him, Davis convinced Jon Gruden to return to the Raiders with a 10-year, $100 million contract and full control of football operations. Gruden’s tenure saw mixed results, highlighted by the Raiders’ move to Las Vegas in 2020. However, his time ended abruptly in 2021 when controversial emails from his past surfaced.

Despite Gruden’s midseason resignation, interim coach Rich Bisaccia guided the team to the playoffs, but Davis opted not to keep him, despite strong player support.

2022: The Josh McDaniels Experiment

The Raiders made headlines in 2022 by hiring Patriots offensive coordinator Josh McDaniels and personnel executive Dave Ziegler. Hopes were high for the duo, but McDaniels’ tenure lasted just 1½ seasons, ending with a 9-16 record and little fan enthusiasm.

Antonio Pierce, promoted to interim coach, led the Raiders to a 5-4 finish. However, Davis did not retain him after the 2023 season.

2024: Pierce’s Brief Tenure

Pierce earned the full-time coaching job following his interim success, beating out Leslie Frazier and Kris Richard for the role. However, the Raiders underperformed, finishing with a 4-13 record, leading Davis to part ways with Pierce after one season.

✈ Transportation Department Cracks Down on Persistent Flight Delays with Legal Actions Against Southwest and Frontier Airlines

The U.S. Department of Transportation (DOT) is intensifying its oversight of airline punctuality by filing a lawsuit against Southwest Airlines and imposing a fine on Frontier Airlines for their handling of chronically delayed flights, according to an announcement made Wednesday.

The DOT revealed that it filed a lawsuit in the U.S. District Court in California, alleging that Southwest Airlines knowingly operated flights with persistent delays, resulting in significant travel disruptions. The department seeks “maximum civil penalties” to enforce passenger protections.

Transportation Secretary Pete Buttigieg emphasized the importance of accountability, stating that airlines must provide realistic schedules for travelers and warning that the department is prepared to pursue legal action when necessary.

Allegations Against Southwest Airlines

The lawsuit claims that Southwest Airlines, based in Dallas, repeatedly operated two specific routes plagued by chronic delays: one between Chicago Midway International Airport and Oakland, California, and another between Baltimore, Maryland, and Cleveland, Ohio.
